1. Acceptance of Terms
By accessing or using the website at kalex.studio or entering into a Master Services Agreement (MSA) or Statement of Work (SOW) with Kalex Studio ("we," "our," or "us"), you agree to be bound by these Terms of Service and our Privacy Policy, including the use of cookies as described herein and in the Privacy Policy.
If you do not agree to all of these terms, you should not access our website or engage our services.
2. Scope of Services & Engagements
Kalex Studio provides bespoke web design, UI/UX engineering, custom web development, brand identity systems, and strategic digital consulting.
Specific project scope, deliverables, timelines, revision cycles, and pricing are defined in individual project proposals or Statements of Work executed between Kalex Studio and the client.
3. Intellectual Property Rights
A. Client Deliverables
Upon final payment of all outstanding project invoices, ownership of final customized design assets, logos, and custom codebase created specifically for the client transfers to the client.
B. Pre-existing Code & Open-Source Libraries
Kalex Studio retains ownership of pre-existing frameworks, design systems, internal component libraries, and general developer tools. Open-source libraries used in client builds remain governed by their respective open-source licenses (e.g., MIT, Apache 2.0).
C. Portfolio & Showcase Display
Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), Kalex Studio reserves the right to showcase completed work, visual designs, and case studies on our website, social channels, and promotional materials.
4. Client Responsibilities & Feedback
To ensure timely project execution, clients agree to:
- Provide clear, timely feedback and required brand materials, copy, images, and domain access credentials.
- Ensure all client-provided materials (logos, copy, images, trademarks) do not infringe upon any third-party intellectual property or privacy rights.
- Adhere to the review schedules agreed upon in the Statement of Work. Delays in feedback may adjust completion deadlines accordingly.
5. Payment Terms & Scope Changes
- Deposit & Milestones: Projects typically require an initial deposit before kickoff, with subsequent payments tied to project milestones as set forth in the proposal.
- Scope Changes: Requests outside the agreed Statement of Work (e.g., extra page templates, additional complex features) will be quoted separately as scope addendums.
- Late Payments: Overdue invoices may pause ongoing development or deployment until settled.
6. Warranties & Limitation of Liability
Our website and digital content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
In no event shall Kalex Studio, its founders, or team members be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of our site or services. Our total aggregate liability shall not exceed the amount paid by the client under the applicable Statement of Work.
7. Website Content & Intellectual Property
All content published on kalex.studio — including the written articles and guides on our blog, brand studies, copy, graphics, illustrations, code, and the overall design and structure of the site — is the property of Kalex Studio or its licensors and is protected by applicable intellectual property laws.
You may read our content and share links to it for personal, non-commercial purposes. You may not copy, republish, scrape, or adapt substantial portions of our website content without our prior written permission. Brief quotations are permitted where accompanied by clear attribution and a link back to the original page.
8. Third-Party Links & Services
Our website links to external sites and integrates third-party services — for example, our project inquiry form is hosted by Typeform, and blog article pages may load Google's Preferred Sources button. These services are operated by independent providers under their own terms and privacy policies. Third-party services that set tracking cookies (such as Google Analytics and the Preferred Sources button) are loaded only if you choose "Accept Cookies" via our cookie banner.
