1. Engagement & Services

Kalex Studio provides web design, brand identity systems, logo design, and creative direction services. All projects are initiated via a signed proposal, brief, or written statement of work outlining scope, milestones, timelines, and pricing.

2. External Collaboration & Contractors

To provide high-quality outcomes across diverse creative disciplines, Kalex Studio reserves the right to engage independent contractors, specialist designers, developers, or creators on a contract or commission basis.

While these creators are not direct employees, they are carefully selected partners working under our direct supervision. We remain fully responsible for the quality, integrity, and timely delivery of all deliverables outlined in our client proposals.

3. Creator Assets & Proper Attribution

Our work may incorporate assets created by third-party creators (including open-source fonts, licensed stock photography, stock vector resources, or custom iconography).

We do not claim ownership of these external assets, nor do we present them as our original creations. All such third-party elements are used in accordance with their respective licensing models. The client is responsible for maintaining and complying with any ongoing third-party licenses (e.g., commercial font licenses or stock photo terms) transferred as part of the project deliverables.

4. Client Ownership & IP Transfer

Upon project completion and receipt of full payment, all original custom design files, logo marks, assets, and source code created specifically for the client by Kalex Studio will be transferred to the client.

Kalex Studio retains the right to display the completed designs, code, and case studies in our portfolio, website, social media channels, and marketing materials for promotional purposes unless otherwise agreed in writing.

5. Fees, Payment, & Delays

Project fees are agreed upon in advance and billed according to the payment schedule outlined in the proposal. Typical projects require a non-refundable deposit before work begins.

Delays on the client's side (e.g., failure to provide assets, content, or feedback within agreed timelines) may result in adjustments to the project delivery schedule and, in extreme cases, administrative reactivation fees.

6. Limitation of Liability

Kalex Studio is not liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use our deliverables, including but not limited to server downtime, loss of profits, or data corruption. We build and test to industry standards, but final deployment and post-launch maintenance remain the client's responsibility unless covered by a separate support agreement.

7. Governing Law & Jurisdiction

These Terms of Use and all projects executed by Kalex Studio are governed by and construed in accordance with the laws of India. Any legal actions, claims, or disputes arising under or related to these terms shall be settled exclusively in the courts of New Delhi, India.

8. Changes to These Terms

We reserve the right to modify these Terms of Use at any time. Changes will take effect immediately upon being posted on this website. Your continued use of our services following any changes signifies your acceptance of the revised terms.
